Terms of Service

These Terms of Service ("Terms") govern your use of CortexGuard ("the App", "we", "us"), a Shopify app that uses AI to enrich merchant product catalogs, and of the free public tools we offer at cortexcommerce.ai/scan. By installing or using the App, or by using those public tools, you agree to these Terms. If you do not agree, do not use them.

Who we are

CortexGuard, a CortexCommerce product, is operated by JTS Tech Services, based in Maple, Ontario, Canada; company and contact details are at jtstechservices.ca. Questions about these Terms go to [email protected].

The service

CortexGuard reads a merchant's product-catalog data, uses AI to generate improved titles, descriptions, tags, and SEO content, and writes approved content back to the merchant's Shopify catalog. Use of the App is also subject to our Privacy Policy.

AI usage disclosure

The in-app brand-profile assistant ("Cortex") is a setup helper scoped solely to defining your brand voice. It has no access to your store, catalog, orders, or customer data, and is not a general-purpose assistant or a source of legal, financial, medical, or professional advice.

Your responsibility for AI-generated content

You are responsible for all AI-generated content that is published to your store. By default, nothing is published until you approve it: every change is staged in the in-app Review Inbox, where you can approve, edit, or reject it.

You may also choose to switch on automation, which publishes content that meets a confidence threshold and the limits you configure, without a further review step. Automation is off unless you turn it on. Content published through automation is published on your instruction and remains your responsibility exactly as approved content does.

Fields you lock are never modified, and pricing, SKUs, inventory, and other commercial identifiers are never written by the AI.

You are solely responsible for ensuring that content published to your store is accurate, lawful, non-infringing, and appropriate for your products and customers — including compliance with advertising, labeling, and consumer-protection rules applicable to your business.

Acceptable use

• Do not use the App to generate unlawful, infringing, deceptive, or harmful content.
• Do not attempt to manipulate, jailbreak, or misuse the AI features to produce content outside the App's intended scope.
• Do not attempt to access another merchant's data or circumvent the App's security controls.

Ownership

You keep ownership of your catalog data and of the content you publish to your store, including AI-generated content once you publish it. You grant us the licence we need to process that data in order to provide the service. We keep ownership of the App, the platform, and everything we build into them.

Billing and credits

Paid usage is billed through Shopify under the plan and credit terms shown in the App at charge time. We do not store payment details.

Plan-included credits roll over while a paid subscription is active. If you downgrade to Free, unused plan credits remain spendable for 90 days, then only pack credits (and any remaining free allowance) spend. Credit packs you buy as one-time purchases never expire, and neither do credits you buy by entering a custom top-up amount, on exactly the same terms. If you uninstall the App, unused credits remain available for 90 days on reinstall, then lapse. Always-on features and prices are those shown in the App when you approve a charge.

Suspension and termination

You may stop using the App at any time by uninstalling it. We may suspend or terminate access where these Terms are breached, where use puts the service or another merchant at risk, or where we are required to do so by law. Data handling after termination follows the retention and deletion terms in our Privacy Policy.

Public scanner and leaderboard

The AI-visibility scanner and the public leaderboard at cortexcommerce.ai/scan are free tools provided as is. Scores are automated estimates produced from publicly reachable pages at a point in time; they are not a rating, a certification, or a statement of fact about any brand. If you believe a published score or listing about your brand is inaccurate, or you would like it removed, email [email protected] and we will review it.

Disclaimer of warranties

The App, the public tools, and all AI-generated content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that AI output will be error-free or meet your requirements.

Limitation of liability

To the maximum extent permitted by law, JTS Tech Services (operator of CortexGuard) will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss arising from content published to your store, your reliance on AI-generated output, or your use of the App or the public tools. Our total liability for any claim relating to the App is limited to the fees you paid us for the App in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnity

You agree to cover us for third-party claims arising from content published to your store through the App, or from your use of the App in breach of these Terms.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have exclusive jurisdiction over any dispute. Nothing here removes a consumer-protection right you have under the law of your own country that cannot be waived by agreement.

General

If any part of these Terms is found unenforceable, the rest stays in force. We may assign these Terms as part of a merger, acquisition, or sale of assets; you may not assign them without our consent. These Terms, together with the Privacy Policy, are the entire agreement between us about the App.

Changes to these Terms

We may update these Terms as the App evolves. Material changes will be reflected by the "Last updated" date above and, where required, communicated to merchants. Continued use of the App after changes take effect constitutes acceptance.
